Terms of Service

Effective date: March 6, 2026

1. Agreement to Terms

By accessing our website at elsinoredigital.com or purchasing any service from Elsinore Digital ("we," "us," "our," or "Elsinore Digital"), you ("Client," "you," or "your") agree to be legally bound by these Terms of Service ("Terms"). If you do not agree, do not use our website or services.

These Terms apply to all services offered by Elsinore Digital, including one-time purchases, monthly subscriptions, and custom project engagements. Service-specific terms in the sections below supplement — and, in the event of a conflict, supersede — the general terms.

2. About Elsinore Digital

Elsinore Digital is a sole proprietorship based in Lake Elsinore, California. We provide local SEO, web design, digital marketing, managed hosting, paid advertising management, and AI automation services to small businesses, primarily in Riverside County, CA.

3. Services

We currently offer the following services:

  • Local SEO Audit Report — one-time purchase
  • Website Subscription — monthly subscription, 6-month minimum
  • Local SEO Management — monthly subscription, 6-month minimum
  • Managed Hosting — monthly subscription, month-to-month
  • Paid Ad Campaign Management — monthly subscription, 3-month minimum
  • AI Automation & Workflows — custom project, terms per engagement

Specific deliverables, pricing, timelines, and any additional terms are described at the point of purchase or in a separate written agreement ("Service Agreement") for custom engagements.

4. Local SEO Audit Report

Deliverable

Upon purchase of a Local SEO Audit Report, you will receive a digital report covering your Google Business Profile, keyword rankings, on-page SEO health, PageSpeed performance, a competitive analysis, and a prioritized action plan. No physical materials are provided.

Delivery Timeline

Reports are typically delivered within 30–60 minutes of purchase. In exceptional cases (high demand or data availability issues), delivery may take up to 48 hours. If your report is not delivered within 48 hours, contact us at hello@elsinoredigital.com and we will resolve it promptly.

Accuracy & Limitations

Reports are based on publicly available data and third-party tools at the time of the audit. SEO data — including rankings, citations, and reviews — changes frequently. We make reasonable efforts to provide accurate information but cannot guarantee that all data reflects real-time conditions. Reports are diagnostic tools, not guarantees of any specific ranking, traffic, or revenue outcome.

Refund Policy

Because audit reports are digital deliverables generated specifically for your business, all sales are final once the report has been delivered. If you have not received your report within 48 hours, you are entitled to a full refund. If you believe there is a significant factual error in your report, contact us within 7 days of delivery; we will review your concern and, at our sole discretion, issue a partial or full refund or provide a revised report. Our money-back guarantee (at least 3 actionable fixes) is honored at our discretion upon written request to hello@elsinoredigital.com.

5. Website Subscription

Deliverable

The Website Subscription includes a custom-designed website (up to 6 pages), mobile-responsive layout, managed hosting, SSL certificate, a contact form, basic on-page SEO setup, Google Analytics integration, and unlimited content edits with a 48–72 business-hour turnaround. It does not include e-commerce functionality, booking systems, logo or brand design, or third-party software licensing fees unless explicitly stated in a Service Agreement.

Minimum Commitment & Billing

The Website Subscription requires a 6-month minimum commitment. Monthly fees are billed in advance on the same date each month. By subscribing, you authorize Elsinore Digital to charge your payment method on file automatically each billing cycle until the subscription is cancelled in accordance with these Terms.

If you cancel before completing the 6-month minimum, you remain liable for all fees through the end of the minimum term. We reserve the right to suspend or terminate service for non-payment and to pursue collection of past-due amounts, including reasonable attorneys' fees incurred in collection.

Ownership Transfer

After completing the 6-month minimum term and remaining current on all payments, you own the website files outright. Ownership transfer is contingent on full payment of all outstanding balances. Elsinore Digital retains the right to use the work in our portfolio unless you request otherwise in writing.

Client Responsibilities

You agree to provide accurate business information, branding assets, content, and timely approvals when requested. Delays caused by your failure to provide required materials do not entitle you to a refund or extension of the minimum commitment period.

Termination After Minimum Term

After the 6-month minimum, either party may terminate with 30 days' written notice. You will not be charged beyond the current billing cycle after termination is confirmed.

6. Local SEO Management

Deliverable

Local SEO Management services include Google Business Profile optimization and ongoing management, local citation building and cleanup, review monitoring, on-page local SEO updates, monthly ranking and performance reports, and competitor tracking. Exact scope is confirmed in a Service Agreement prior to engagement.

Minimum Commitment & Billing

Local SEO Management requires a 6-month minimum commitment. Monthly fees are billed in advance. You authorize automatic monthly billing until cancellation. Early cancellation does not relieve you of fees owed through the end of the minimum term.

No Ranking Guarantee

Search engine rankings are determined by Google and other search engines using complex, frequently changing algorithms that are entirely outside our control. We make no guarantee of achieving or maintaining any specific ranking position, volume of leads, or business revenue. We commit only to performing the agreed services with reasonable skill and care.

Client Responsibilities

You agree to provide access to your Google Business Profile, website, and any other accounts necessary to perform the services. You are responsible for maintaining accurate business information. We are not liable for ranking losses caused by your actions, your website changes made outside our scope, or changes to Google's platform policies.

Termination After Minimum Term

After the 6-month minimum, either party may terminate with 30 days' written notice. Rankings and data accumulated during the engagement remain the property of your Google account; we do not withhold or delete your data upon termination.

7. Managed Hosting

Deliverable

Managed Hosting includes website hosting, SSL certificate, daily backups, uptime monitoring, security scanning, and migration of an existing site. It does not include content editing, design changes, or SEO work — those require a separate service.

Billing

Managed Hosting is billed monthly with no minimum commitment beyond the current billing period. You authorize automatic monthly billing until cancellation. Either party may cancel with 14 days' written notice.

Uptime & Backups

We use commercially reasonable efforts to maintain uptime and perform daily backups, but we do not guarantee 100% uptime or uninterrupted service. Downtime may occur due to scheduled maintenance, third-party hosting infrastructure issues, or events beyond our control. Backups are provided as a convenience; you are solely responsible for maintaining your own independent copies of critical business data.

Data Retrieval on Termination

Upon cancellation, we will provide you with a copy of your website files within 14 days, provided your account is current. We reserve the right to delete hosted data 30 days after the final billing date if no retrieval request is made.

8. Paid Ad Campaign Management

Deliverable

Paid Ad Campaign Management includes campaign strategy, ad copy and creative, ongoing optimization, conversion tracking setup, and monthly performance reporting for Google Ads, Meta Ads, or other agreed platforms. Exact scope and platforms are confirmed in a Service Agreement.

Management Fee vs. Ad Spend

Our monthly management fee is separate from and in addition to your ad spend budget, which is paid directly by you to Google, Meta, or other advertising platforms. Ad spend is not paid to or held by Elsinore Digital, and we are not responsible for how those platforms apply, charge, or refund ad spend. Ad spend is non-refundable once submitted to the advertising platform.

Minimum Commitment & Billing

Paid Ad Management requires a 3-month minimum commitment of the management fee. Monthly management fees are billed in advance. Early termination does not relieve you of management fees owed through the end of the minimum term.

No Results Guarantee

Advertising results — including impressions, clicks, leads, conversions, and revenue — depend on many factors outside our control, including market conditions, your offer, your landing page quality, competition, and platform algorithm changes. We make no guarantee of any specific advertising outcome. We commit only to managing campaigns with reasonable professional skill.

Third-Party Platform Changes

Google, Meta, and other advertising platforms independently set their own policies, algorithms, and pricing. We are not liable for any campaign suspension, ad disapproval, or performance impact caused by platform policy changes or decisions made by the platform.

Termination After Minimum Term

After the minimum term, either party may terminate with 30 days' written notice. Upon termination, all ad account access and assets you own (campaigns, audiences, creative) will be returned to you. Assets created solely by Elsinore Digital using our proprietary tools or templates remain our property.

9. AI Automation & Workflows

Deliverable

AI Automation services are custom-built on a project basis. Deliverables, scope, pricing, and timelines are defined in a written Service Agreement executed prior to work beginning. No work begins until both parties have agreed to a Service Agreement in writing.

Client Responsibilities

You are responsible for providing all necessary account access, API keys, and business logic required to build and operate your automations. You are responsible for ensuring that your use of any automation complies with applicable laws, platform terms of service (including those of Google, Meta, Twilio, OpenAI, and any other third-party services integrated), and any applicable communication regulations including the TCPA and CAN-SPAM Act. We are not responsible for misuse of automations after delivery.

Licensing & Ownership

Upon full payment, you receive a perpetual, non-exclusive license to use the delivered automation workflows for your business operations. Underlying frameworks, templates, and reusable components developed by Elsinore Digital remain our intellectual property. You may not resell or sublicense the delivered workflows.

Ongoing Support

Unless a separate ongoing support agreement is included in your Service Agreement, automation deliverables are provided as-is upon completion of the project. We are not responsible for maintenance, updates, or issues arising from third-party platform changes after delivery.

10. Payment Terms

All payments are processed securely through Stripe. By completing a purchase or subscription, you agree to Stripe's Terms of Service. We do not store your credit card information. Prices are listed in USD.

For subscription services, you authorize Elsinore Digital to charge your payment method on file automatically on each billing date. It is your responsibility to keep payment information current.

Payments past due by more than 7 days may result in suspension of services. Services suspended for non-payment may be terminated if payment is not received within 14 days of suspension. Reinstatement following suspension may require a reinstatement fee. Past-due balances accrue interest at 1.5% per month (or the maximum rate permitted by California law, whichever is lower). You agree to reimburse us for all reasonable costs of collection, including attorneys' fees, for amounts 30 or more days past due.

If you dispute a charge directly with your bank or credit card issuer (a "chargeback") without first contacting us to resolve the matter, we reserve the right to immediately suspend services and to provide Stripe and your bank with documentation of the agreed services and these Terms to contest the chargeback.

11. Client Responsibilities

You agree to:

  • Provide accurate, complete, and lawful business information, content, and materials.
  • Respond to requests for approvals, information, or feedback within a reasonable time (typically 5 business days). Delays caused by your unresponsiveness do not entitle you to a refund, service credit, or extension.
  • Maintain ownership of and responsibility for all accounts (Google, Meta, website, etc.) to which you grant us access.
  • Ensure that any content, materials, or business practices you direct us to promote comply with all applicable laws and the terms of relevant third-party platforms.
  • Not direct us to engage in any deceptive, misleading, or illegal marketing practices.

We reserve the right to refuse or terminate services if, in our sole judgment, a client's directions, content, or business practices violate applicable law, platform policies, or ethical standards. In such cases, you remain liable for all fees owed through the date of termination.

12. Third-Party Platforms & Services

Our services rely on and interact with third-party platforms including Google (Search, Google Business Profile, Google Ads), Meta (Facebook, Instagram, Ads), Stripe, Vercel, Supabase, Resend, n8n, OpenAI, and others. These platforms are independently owned and operated and may change their features, policies, algorithms, or pricing at any time without notice.

Elsinore Digital is not affiliated with, endorsed by, or responsible for the actions of any third-party platform. We are not liable for any loss, service disruption, account suspension, or adverse outcome caused by a third-party platform's decisions or changes, including but not limited to Google algorithm updates, Google Business Profile suspensions, Meta ad account restrictions, or hosting provider outages.

13. Intellectual Property

All content on our website — including copy, design, graphics, and code — is owned by Elsinore Digital and may not be reproduced, distributed, or used without prior written permission.

Work product delivered to you (reports, websites, automations) is licensed or transferred as described in the relevant service section above. You represent and warrant that any content, logos, images, or other materials you provide to us do not infringe any third-party intellectual property rights. You indemnify us against any claims arising from materials you provide.

14. Disclaimer of Warranties

ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not warrant that our services will be uninterrupted, error-free, or free of harmful components, or that any specific business result will be achieved. No oral or written communication by Elsinore Digital creates any warranty not expressly stated in these Terms.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ELSINORE DIGITAL'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES — WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE — SHALL NOT EXCEED THE TOTAL FEES YOU ACTUALLY PAID TO ELSINORE DIGITAL IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

IN NO EVENT SHALL ELSINORE DIGITAL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

16. Indemnification

You agree to defend, indemnify, and hold harmless Elsinore Digital and its owner, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of our services; (b) any content, materials, or instructions you provide to us; (c) your violation of these Terms or any applicable law; (d) your violation of any third-party right, including intellectual property or privacy rights; or (e) any claim by a third party that your business, products, services, or marketing practices caused harm.

17. Force Majeure

We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, acts of government, pandemics, power outages, internet infrastructure failures, third-party service outages, or other events of force majeure. In such circumstances, we will notify you and make reasonable efforts to resume services as quickly as possible.

18. Termination

Either party may terminate a service engagement upon the completion of any applicable minimum commitment period by providing written notice as specified in the relevant service section.

We may immediately suspend or terminate services without notice if: (a) you breach any material provision of these Terms and fail to cure such breach within 7 days of written notice; (b) your account becomes 14 or more days past due; (c) you engage in fraudulent, deceptive, or illegal activity; or (d) continuing to provide services would, in our sole judgment, expose us to legal or regulatory risk.

Upon termination for any reason, all fees owed through the termination date become immediately due. Provisions of these Terms that by their nature should survive termination — including Sections 13 through 19 — will continue to apply.

19. Dispute Resolution

Informal Resolution First

Before initiating any formal proceeding, you agree to contact us at hello@elsinoredigital.com and give us 30 days to resolve the dispute informally. Most concerns can be resolved quickly and we are committed to doing so in good faith.

Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or our services shall be resolved by binding arbitration administered by JAMS (jamsadr.com) under its Streamlined Arbitration Rules, except that either party may bring an individual claim in small claims court if it qualifies. The arbitration will be conducted in Riverside County, California, or by video conference at either party's request. The arbitrator's decision is final and binding, and judgment may be entered in any court of competent jurisdiction.

Class Action Waiver

You agree that any dispute will be resolved on an individual basis only. You waive any right to bring or participate in any class action, collective action, or representative proceeding against Elsinore Digital.

20. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. Any court proceedings not subject to arbitration shall be brought exclusively in the state or federal courts located in Riverside County, California, and you consent to personal jurisdiction there.

21. General Provisions

Entire Agreement

These Terms, together with any applicable Service Agreement and our Privacy Policy, constitute the entire agreement between you and Elsinore Digital regarding our services and supersede all prior understandings, negotiations, or agreements, whether oral or written.

Severability

If any provision of these Terms is found invalid or unenforceable by a court or arbitrator, that provision will be limited to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

No Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision in the future.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

22. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the effective date at the top of this page. For active subscription clients, we will provide at least 14 days' notice of material changes by email. Continued use of our services after changes take effect constitutes your acceptance of the revised Terms.
